dual xeon 2.4 hyperthreading enabled
win 2k server
dual amd mp 2200 2gigs ram , no hyperthreading,

The dedicated server isn't multithreaded. The jist of it is that you won't see any performance gain running a single dedicated server on dual CPU's but if you run 2 or more dedicated servers on dual CPU's you'll see a benefit because both CPU's will then be utilized.
I believe Icculus discussed similar characteristics of the Linux MOHAA binary on an SMP Linux as well.

It makes sense, most dual cpu servers are used to host more than one game anyway, and thus only use one cpu...
And as IW said over on their forums, putting in multiple processor support actually eats up more resources for the majority of users (the single processor users).
But this also means (assuming you have the memory and bandwidth available, and that one processor is enough to run on) that you can run 2 servers for the price of one.

PLease make note windows 2000 doesn't support hyperthreading only XP does. That is the problem people!

I think that it does support it. Not sure though because I know nothing about hyperthreading but here is an intreesting read about it:

Don't get SMP (dual-processors) and hyper-threading mixed-up. They are NOT the same thing. SMP is two separate processors and Windows 2000 DOES support SMP. As a matter of fact it supports up to 4 processors in the Enterprise version.
Hyperthreading more or less uses one processor as 2 processors, separating the processes into threads and handling more than 1 thread at a time.

Win2k DOES NOT support hyper threading and thats his problem. Upgrade to Win2k3 if you want it. With dual xeons you actually see 4 cpu's in task manager, pretty cool.
